Mergers & Acquisitions

  • Representing a client in connection with the cross-border acquisition of shares in an entertainment business, including preparing and finalizing definitive agreements and advising on post-completion governance and restructuring.
  • Representing a Thai healthcare group in its investment in a fertility clinic business, including conducting legal due diligence and advising on asset transfer arrangements and corporate restructuring.
  • Representing the subsidiary of a listed company in the acquisition of a beverage business, including conducting legal due diligence and preparing the share purchase agreement.
  • Drafting and negotiating transaction documents, including share purchase agreements, shareholders’ agreements, and business transfer agreements.
  • Advising on legal structuring and post-closing implementation for cross-border transactions.

Foreign Direct Investment (FDI) and Investment Promotion (BOI)

  • Advising multinational clients on setting up entities in Thailand, including shareholding structures, foreign business licensing pathways, and structuring under the Thai-U.S. Treaty of Amity.
  • Assisting foreign investors in obtaining Foreign Business Licenses for business operations restricted under Thai law.
  • Representing clients in applying for BOI promotions in various sectors, including software, IT services, e-commerce, and manufacturing, under TISO, ITC, IHQ, and IBC categories.
  • Advising on BOI project amendments, issuance of full operation startup licenses, and cancellation of BOI certificates.
  • Assisting clients with post-BOI approval matters, including supporting ongoing compliance and regulatory reporting obligations.

FinTech & Digital Assets

  • Advising digital asset operators on licensing applications for digital asset exchanges and ICO portals with the Thai SEC.
  • Coordinating with international counsel on cross-border regulatory compliance for token offerings.
  • Advising a NYSE-listed company on the implementation of employee digital token incentive plans, including Thai securities filings and related compliance matters.
