Salinthip has over 7 years of experience in the Corporate and M&A Practice, where she is involved in a broad range of assignments relating to foreign investments in Thailand including company incorporation, share sale and purchase agreements, transfer agreements such as term sheets, letter of intent and shareholders’ agreements. She is particularly well versed in real estate, labour and employment, intellectual property and data privacy. She has accumulated experience across multiple industries including real estate, e-commerce and technology.

    • Advising a selection of clients on foreign investment and corporate registration in Thailand including drafting relevant agreements and instruments such as joint venture agreement, non-disclosure agreement, investment agreement etc.
    • Preparing and reviewing applications for multiple companies in connection with company incorporation and amendment registration, capital increase, capital decrease, company dissolution and liquidation including Representative office, US Treaty of Amity company, Foreign Business License (FBL) and Foreign Business Certificate (FBC).
    • Assisting several companies on different types of applications including liaising with governmental bodies such as Department of Business Development (DBD), the Revenue Department, Board of Investment (BOI), Food and Drug Administration (FDA) and Thai Customs.
    • Representing various startup founders and shareholders on negotiating, drafting and reviewing various transaction agreements related to “Startup Crowdfunding” process including share sale and purchase agreements, share subscription agreement, shareholders agreements as well as advising on action plan, the condition precedents compliance and preparing applications for any related corporate registrations etc.
    • Representing multiple companies in negotiating, drafting and reviewing various type of agreements related to properties, including property sale and purchase agreement, assets sale and purchase agreements, lease agreement, sub-lease agreement, hire-purchase agreement etc.
